1. Agreement

By using Huey system’s nine web sites (the site)( the sites) you agree to follow and to be bound by the web version of the Terms, (“Terms”) and Huey System Inc., privacy policy. If you do not agree to be bound by these terms please do not access or download content from this site. Areas of these sites may have directions posted. If there is a conflict between these Terms and the terms posted for a specific area of any of the nine sites, then the specific shall have precedence with respect to your use of that area.

2. Self Help Information

The content contained on the nine Huey System sites including text, graphics and other information, whether provided by us or other registered members is not intended to be and should not be used in place of mental health , medical, spiritual or other educational professionals when they are clearly warranted. When in doubt confer with these individuals and you are invited to have them use our services as an adjutant service to your and their needs.

3. Your Account

In order to become a member, you must create an account (“Account”) by registering on one of the nine Huey System Inc. sites. During the registration process, you will also be asked to choose a user name and password for your account. You are entirely responsible for maintaining the confidentiality of your password. You are not to use the user name and password of another member at any time and you are to notify Huey System Inc. if you suspect any unauthorized use of your account or access to your password. You are entirely responsible for any and all content posted by or through your account on the site including mail, and for interactions with any member, or user of our sites that has been set up as a visitor.

4. License Content

We herby grant you, subject to these Terms, non-exclusive, limited, and revocable license to view Huey system Inc.’s nine sites. You may download content only for your personal use or non-commercial purposes but no alteration, modification or further reproduction is permitted or the use or reproduction of content is authorized. In consideration of this authorization, you agree that nay copy of the content which you make shall retain all copyright and other proprietary in the written manner of the original. You may not otherwise use, download, upload, print, display produce or reproduce, publish, license, post, transmit, adapt, or distribute any content in whole or part without Huey System Inc. express written authorization.

5. License to Link

We herby grant you, subject to these terms, a non-exclusive, limited, agreement to license to link to this site. You may not present the link to this site in a way that associates this site with advertising or creates an impression or inference that this site endorses any organization, product or services including without limitation, the website displaying the link. Further, you agree that you will no way misrepresent your relationship with Huey System Inc., present false importation about Huey System Inc.’s. nine site products or services, or place a link to this web site on a web site that could be construed as content that any reasonable person may consider, obscene ,defamatory, harassing, grossly offensive, or malicious. Huey System Inc. reserves the right to revoke this license generally, or the right to use specific links of the nine Huey sites, at any time. At this time you agree that you will remove and disable any and all of your links to this site immediately.

6. Ownership

Content on Huey system Inc.’s nine sites may be protected by copyright and other laws. Except as above, nothing contained herein shall be construed as conferring by implication, estoppels, or copyright or right under any patent, trademarks, or copy right of Huey System Inc. or any third party. All trademarks, logos, trade dress and service marks (“Marks”) displayed on the site are the proprietary rights of Huey System Inc., or other third parties. You are not permitted to use these marks without the exact consent of the party that owns the mark.

7. Disclaimer of Warranties

7.1 Site

Huey System Inc. makes no representation, warranties, or assurances as to the accuracy, currency, availability or completeness of the information provided on Huey System Inc.’s nine sites. Except where expressly provided otherwise, the sites and all contents, products and services provided on the nine sites are provided on an “AS IS “ and “As Available” basis and extent as legally permitted under applicable law, Huey System Inc. expressly disclaims warranties of any kind, whether expressed or implied, including but not limited to implied warranties or merchantability, fitness, for particular purpose. Huey system Inc. makes no warranty that (A) The nine sites will meet your requirement; (B) The nine sites will be available on an uninterrupted, timely, secure and free basis; (C) The results than may be obtained from the use of the nine sites or advertising offered through the nine sites will be accurate or reliable; (D) the quality of all products, services, or other material obtained or purchased by you through Huey System Inc. will meet your expectations. Some jurisdictions do not allow the exclusion of warranties, so the above exclusions may not apply.

7.2 Posting and Uploads

We do not and cannot review all content posted or uploaded to Huey System Inc.’s nine sites. We are not responsible for such content. MESSAGES, ADVICE, OPINIONS, OR OTHER INFORMATION CANTAINED IN ANY DISCUSSION AREA SHOULD NOT BE CONTSRUED AS PROFESSIONAL ADVICE OR INSTRUCTION.

7.3 Public Areas

If you use a public area of Huey System Inc.’s nine sites, such as a chat room, bulletin board, or other (Public Area) you are solely responsible for your own communications, the consequences of those communications, and your reliance on any communications in the public areas. In cases where you think or believe that someone else is in danger, you should contact your local law enforcement agent immediately. If there is a dispute between you and any third party (including without limitation a person or member) Huey System. Inc. is under no obligation to become involved.

7.4 Geographic Disclaimer

The nine sites are administered by Huey System Inc. from Edgewood, Washington. The sites are intended for all US residents of most other countries. Access to the site’s content may not be legal for some countries. If you elect to access and use the sites and content from any of these countries, you do so at your own risk and are solely responsible for complying with those countries applicable laws.

8. Limitation of Liability

TO THE EXTENT LEGALLY PERMITTED UNDER APPLICABLE LAW, HUEY SYSTEM INC. SHALL NOT BE LIABLE FOR ANY DAMAMGES OR INJURY RESULTING TO YOU TO OR YOUR INABLIITY TO ACCESS, THESE SITES OR FROM RELIANCE ON ANY CONTENT PROVIDED BY THESE SITES, AND IN NO EVENT SHALL HUEY SYSTEM INC. OR IT’S AGENTS BE LIABLE FOR ANY DIRECT OR INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTAL DAMAMGES, OR DAMAGES FOR LOSS OF REVENUE, DATA OR USE, INCURRED BY YOU WHETHER IN AN ACTION IN CONTRACT OR TO YOU FROM YOUR ACCESS TO, OR USE OF, THESE NINE SITES, WHETHER OR NOT HUEY SYSTEM INC. HAS BECOME AWARE OF THE POSSIBLITY. YOU AGREE THAT HUEY SYSTEM INC.’S AGGREGATE LIABILITY TO YOU OF ALL CLAIMS ARISING FROM, OR RELATING TO THE NINE SITES( INCLUDING, WITHOUT LIMITATIONS, LACK OF ACCESS THERTO) IS LIMITED TO FIFTY US DOLLARS ($50). SOME JURISTICITIONS ALLOW THE LIMITATION OR EXCLUSION OF LIABLITIY, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

9. Advertising, Linking and Framing

These Huey System Inc. sites may provide links or references to, or advertise sites operated by other parties (“Third Party Sites”), but Huey System Inc. has no responsibility for their availability or content of such third party sites and shall not be liable for any damages or injury from that content. Any links to other third party sites are provided as merely a convenience to the site and the inclusions of the links does not imply an endorsement. You agree that Huey Systems Inc. is not responsible for the content or performance of these thirds party sites, including opinions, advice, and advertisements, that Huey System Inc. is not responsible for any loss or damage of any sort you have from dealing with any such third party, and that you bear all risks associated with the use of such sites.

10. Acceptable use and Conduct

The communities and newsgroup discussions on this site are not guaranteed to be monitored for unacceptable use, nor will any statements made in communities or newsgroup discussions be authenticated or endorsed by us. It is not our intent to discourage our members from taking controversial positions or expressing vigorously what may be unpopular, however, we reserve the right to take such action as we deem appropriate in cases where the site is being used to disseminate statements that are deeply and widely offensive and/or harmful.

10.1 "Prohibited Content” includes content that:

(1) is offensive or promotes racism, bigotry, bodily or physical harm of any kind against any group or individual; (2) Bullies, harasses, or advocates such bullying, or harassment of another person; ( 3) Involves the transmission of “ junk mail”, “chain mail”, unsolicited mass mailing or “spamming,” ( 4) is false or misleading or promotes, endorses or furthers activities or conduct that is abusive, threatening, obscene, defamatory or libelous; (5) Infringement of a person’s content without a license to do so, whether or the intellectual property is US registered or is registered in any other country. (6) Promotes, copies or distributes an illegal or unauthorized copy of another’s work, whether it is protected by copy right or trade secret laws, such as presenting a (third party’s) work as your own (Plagiarism), providing stolen or illegally obtained content, providing pirated computer programs or links to them, providing information on how to circumvent manufacturer-installed copy protection devices, or providing pirated music, videos, links to such pirated music, videos, or movies; (7) is involved in the exploitation of persons under the age of eighteen (18) in a sexual or violent manner, or solicits personal information from anyone under the age of eighteen(18) (8) Provides instructional information about illegal activities such as, without limitation the buying of illegal weapons or substances, violating someone’s privacy, or providing or creating content or other harmful code; (9) solicits passwords or personally identifying information for common unlawful purposes from users; (10) Except as expressly approved by Huey System Inc., involves commercial advertisement promotions such as contests, sweepstakes, barter, advertising, or pyramid schemes; (11) contains, Trojan horses, worms, time bombs, corrupted files, or similar software; (12) constitutes promotions primarily for the purpose of dealing in: counterfeit goods, items subject to US embargo, illegal paraphernalia, stolen product and items used for theft, unlicensed trade or dealing in stocks or gambling items, professional services regulated by state licensing regimes or are non- transferable; engage in any other conduct that restricts or inhibits any other person from using or enjoying the sites which in the judgment of Huey System Inc., exposes Huey System Inc. or any of it’s visitors, members, to any liability or detriment of any type; ( 13) otherwise violates the terms of this agreement or is a liability for Huey Systems Inc. You represent and warrant that: (a) you own the content posted by you on the sites or otherwise have the right to grant the license set forth in these terms and (b) Your content does not violate the privacy rights, publicity right, copyrights, or other rights of any person.

10.2 Breach

any use of the Huey System Inc sites in violation of these terms may result in, among other things limitation or suspension of your rights to use the sites and the license granted hereunder. In order to comply with legitimate governmental requests, subpoenas or court orders, to protect our systems, visitors, and or to insure the integrity and operation of our business and systems, we may access and disclose and content we consider necessary or appropriate, including, without limitation, all information (i.e. name, e-mail address, etc.) IP addressing and traffic information, usage history and posted content

10.3 Enforcement by Us

We have the right( but not the obligation) to review any content (an to modify) any content that in our sole judgment violates the agreement or which is prohibited or may otherwise violate the rights, harm or threaten the safety of any visitor, member, or any other person or create liability For Huey System Inc, or any visitor or member. We reserve the right (but have no obligation) to investigate and take appropriate legal action in our sole discretion against you if you violate the agreement or any part of this agreement, including, without limitation, removing the prohibited content placed on our sites (or modifying it), terminating your membership, reporting you to law enforcement authorities, taking legal action against you. You understand and agree that Huey System Inc. is under no obligation to display, reproduce or distribute the content(Including prohibited content) that you post.

10.4 Non-Commercial Use

The Huey System Inc. sites are for personal use of visitors and members only and are not to be used in connection with any commercial endeavors except for those that are specifically approved by our management. You will not engage in advertising to, or solicitation of, any visitor or member to sell any products or services through our sites. In order to protect our visitors and members from advertising or solicitation, we reserve the right to restrict the number of communications that you send to other visitors or members and the sharing of any content in any twenty four 24 hour period or any number we deem appropriate in our sole discretion. Commercial advertisement links, and other forms of solicitation may be removed from your content without notice and may be cause for suspension or termination of you account and the license granted hereunder.

10.5 No Disruption

You will not: (1) cover or obscure the banner advertisements on your account or any Huey System Inc. page via HTML/CSS, scripting, or any other means, if any (2) interfere with or create an undue burden on the sites or the networks or services connected to the sites; (3) without Huey System Inc express permission, introduce software or automated agents to the sites or produce multi accounts, generate automated messages, or to strip or mine data from the sites or interfere or disrupt, or modify any data or equipment to manipulate the location function of the sites.

10.6 Miscellaneous

You agree that you will not attempt to impersonate another visitor or member on Huey System Inc sites or impersonate a staff member of Huey System Inc sites, or any community advisors. You will use the sites in a manner consistent with any and all applicable laws and regulations.

11. Privacy Policy

Please see Huey system Inc.’s Privacy policy by accessing the site you are agreeing to be legally bound by the privacy policy, which is incorporated into these terms by reference.

12. Export Restrictions/ Legal Compliance

You may not access, download, use or export sites content, products or services provided on the Huey System Inc. sites in violation of U.S. export laws or regulations or violation of any other applicable laws or regulations. By downloading or using the Huey System Inc. sites and it’s services you represent and warrant that such download or use is not in violation of any such laws.

13. Copyright Policy

It is our policy to terminate membership privileges of a member who infringes copyright upon prompt notification to us by copyright owner or agent. Without limiting the forgoing, if you believe that your work had been copied and posted in any way that constitutes copyright infringement, please provide our copyright agent with the information: (1) an electronic or physical signature of the person authorized to act on behalf of the copyright interest; (2) a description of the copyrighted work that you claim has been infringed upon and it’s location on the Huey System Inc site; (3) Your address, e-mail and phone number; (4) A written statement by you that you have good reason to believe that the disputed work is not authorized by the copyright owner or agent, or the law; (5) a statement made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or agent and are authorized to act on the owner’s behalf. 14. Release

You herby release us, our officers, employees, agents and successors from claims and any and all losses, damages, rights, claims and actions of any kind including, without limitations, injuries, death, and property damage, that is either directly or indirectly related to or arises from interactions with other visitors and members, (1) any incorrect or inaccurate content( including but without limitation any information in accounts) posted on the Huey System Inc. sites; (2) Conduct of any member. If you are a California resident, you herby waive California Civil Code Section 1542, “A general release does not extend to claims which the creditor does not know or suspect to exist or favor at the time of executing the release, which known by him must have materially affected a settlement.”

14.1 Indemnity

You agree to defend, indemnify, and hold us, our subsidiaries, affiliates, office staff, and other partners and employees, harmless from any loss, liability, claim, or demand, including attorney’s fees, made by any third party due to or arising out of your use of the Huey System Inc.’s sites in violation of the terms and/or arising from your breach of any of these terms.

15. General

15.1 Governing Law and Reform

All matters relating to your access to, and use of the Huey System Inc. site’s terms shall be governed by U.S. federal law or the laws of the State of Washington. Any legal action or proceeding relating to your access to, or us of the Huey System Inc. sites shall be instituted in a state court local to Pierce County, Washington and a federal court venue located in the closest federal area to Washington State. You and Huey System Inc. agree to submit to the exclusive jurisdiction of, and agree that proceedings will be in these courts in any such legal actions or proceedings.

15.2 Severability

In the event that any term or condition of these terms is not fully enforced for any reason, such term(s) or condition(s) shall be severable from the remaining terms and conditions. The remaining terms and conditions shall not be affected by such unenforceability or invalidity and is enforceable and applicable.

15.3 Changes

Huey System Inc reserves the right to change or discontinue the content of the sites any time without notice, and with no liability to you. We may modify these terms from time to time and all modifications shall be affective: (1) upon posting by Huey System Inc. on the sites for all visitors and members on all nine sites, and (2) thirty 30 days after posting by Huey System Inc. on all nine sites. If you do not agree with the modifications you must cease your use of the sites.

15.4 Entire Agreement

These terms (which includes the Privacy Policy constitute the entire agreement between you and Huey System Inc. regarding the use of the Huey System Inc.
